Paris, 16 December 2013 – This updated edition of the book written by Benoit le Bars, one of the world’s foremost experts on OHADA law (Organization for the Harmonization of Business Law in Africa), promises to help readers acquire a better understanding of business law in Africa, and explains the instrumental role it plays in securing investment projects on the rapidly developing continent.

The current practice of international trade implies a close relationship between corporate law and international arbitration.  Within the framework of OHADA law, this relationship is essential because of the preference of arbitration as a means to settle disputes under this system of law.

More than 20 years after the adoption of the first set of uniform acts in Africa, Benoit Le Bars, an internationally recognised expert in arbitration, offers his readers – from the student to the legal expert, lawyer or project coordinator – solutions and practical advice for different legal issues that may arise in the OHADA zone.  He provides an analysis of the correlation between arbitration and corporate law, under the regime of OHADA law, essential for penetrating progressive but largely untapped African markets.

The book illustrates the essential topics of international arbitration and corporate law under the law of OHADA in a clear and accessible way.  It also addresses additional issues such as the creation and operation of companies, mergers and acquisitions, as well as restructuring corporate groups.  This book incorporates the new developments that have arisen since the publication of the first edition in French.

This publication contains a detailed list of appendices containing the relevant translated legal texts, which serves as a handy reference for each of the subjects covered in the book.
